Terms & Conditions

1. Introduction

Xllent Food Products, based in Chhatrapati Sambhajinagar, Maharashtra, is an FMCG distribution company operating since 2016. The company deals in a wide range of fast-moving consumer goods (FMCG). These Terms and Conditions apply to all Super Stockists, distributors, vendors, clients, and business associates affiliated with Xllent Food Products.

2. Product Responsibility

Xllent Food Products distributes products under various brand names. All trademarks and brand rights belong to their respective owners. The company is responsible only for distribution and supply, not for product performance, packaging, or brand claims made by third-party manufacturers.

3. Order & Payment Policy

Orders accepted only after signing official agreement.
Products dispatched within 6–7 working days after full payment confirmation.
Payment methods: Bank Transfer, UPI, Cheque (subject to clearance).
Confirmed orders cannot be cancelled without written approval.

4. Delivery & Logistics

Orders shipped through third-party logistics providers.
Delivery timelines may vary depending on location and external conditions.
Shortage/damage must be reported within 48 hours with photo/video proof.
Company not liable for delays caused by logistics providers.

5. Return & Replacement Policy

Expired/damaged/defective products eligible for return (unopened & unused).
Report within 7 days with product photo, batch number & invoice.
Returns subject to inspection and management approval.
Unsold inventory return only if company-approved.

6. Pricing & Resale Freedom

Products are sold at pre-approved company prices. Resale pricing, discounts, and selling platforms are the responsibility of the Super Stockist. The company does not interfere with market pricing.

7. SKU Selection & Product Trials

Suggested fast-moving SKUs for first purchase.
2-month performance trial period.
Non-performing SKUs may be returned if approved.
No obligation to reorder slow-moving items.

8. Territory & Market Conduct

Exclusive or semi-exclusive territories may be assigned. Unauthorized marketing, misrepresentation, or misuse of the Xllent Food Products name will be treated as violation.

9. Promotional Support

Promotional materials may be provided based on performance. All promotional content must be approved by the Xllent marketing team before release.

10. Deposit Terms

Refundable deposit ₹1,00,000 mandatory for Super Stockists.
Returned after 1 year + 90 days if:
No pending dues or violations exist.
Minimum ₹5,00,000 stock purchased.
Minimum ₹4,00,000 stock delivered.
Returned via official bank transfer only.
Company may withhold deposit in case of misconduct or brand damage.

11. Confidentiality

All pricing, strategies, distributor data and policies are confidential. Disclosure to third parties or competitors is prohibited.

12. Dispute & Jurisdiction

Governed under jurisdiction of Chhatrapati Sambhajinagar (Aurangabad), Maharashtra. Parties agree to amicable resolution first, failing which legal arbitration will apply.

13. Termination Clause

Immediate termination in case of fraud, breach, or brand misuse.
15 days written notice required for normal closure.
Stock not returnable unless agreed in writing.

14. Updates to Terms

These terms may be revised periodically. Updates will be communicated in writing and become effective from the mentioned date.
